3. User Responsibilities

4. Payment Terms

4.2 Payment Schedule

Unless otherwise agreed in writing, payment terms are as follows:

• Initial Deposit: 50% upfront before project commencement
• Milestone Payments: As specified in project agreement
• Final Payment: 50% upon project completion and delivery

4.3 Late Payments

Invoices are due within 15 days of issuance. Late payments may incur interest charges of 1.5% per month or the maximum allowed by law. We reserve the right to suspend services for overdue accounts.

4.4 Refunds

Deposits are non-refundable once work has commenced. Refund requests will be considered on a case-by-case basis for work not yet started.

5. Intellectual Property Rights

5.1 Ownership of Deliverables

Upon full payment, you will own the final deliverables created specifically for your project, excluding:

• Pre-existing materials provided by Webotrex
• Third-party components, libraries, and frameworks
• Stock images, fonts, and other licensed assets
• Our proprietary tools, methodologies, and processes

5.2 License to Third-Party Components

We grant you a non-exclusive license to use third-party components included in your project, subject to their respective licenses.

5.3 Portfolio Rights

We reserve the right to display completed projects in our portfolio and marketing materials unless confidentiality is explicitly agreed upon.

6. Warranties and Disclaimers

6.1 Service Warranty

We warrant that services will be performed in a professional and workmanlike manner. We will make reasonable efforts to correct any errors or defects reported within 30 days of project delivery.

6.2 Disclaimer

EXCEPT AS EXPRESSLY PROVIDED, OUR SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND. We do not guarantee:

• Uninterrupted or error-free service
• Specific results or outcomes
• Compatibility with all systems or browsers
• Freedom from viruses or harmful components

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• Our total liability shall not exceed the amount paid by you for the specific service giving rise to the claim
• We shall not be liable for indirect, incidental, special, consequential, or punitive damages
• We are not liable for loss of profits, revenue, data, or business opportunities
• We are not responsible for third-party services, content, or products

8. Termination

8.1 Termination by You

You may terminate services by providing 30 days' written notice. You will be responsible for payment of all work completed up to the termination date.

8.2 Termination by Us

We may terminate or suspend services immediately if you:

• Breach these Terms
• Fail to make timely payments
• Engage in prohibited activities
• Provide false or misleading information

8.3 Effects of Termination

Upon termination:

• Your right to access services ceases immediately
• We will provide work-in-progress files upon payment of outstanding fees
• All outstanding payments become immediately due
• Provisions that should survive termination will remain in effect
